Foreca Weather API – Terms of Service

By subscribing the Foreca Weather API provided by Foreca Ltd (Business ID: 1084243-9, Keilaranta 1, 02150 Espoo, Finland) (“Foreca”), clicking “I accept” or otherwise accepting these Terms of Service (“Terms”) by accessing or using the Service, you (“Customer”) agree to be bound by these Terms (“Subscription”). If you do not agree to these Terms, you may not subscribe, access or use the Service.

These Terms together with the documentation referred to and/or linked herein shall form a binding agreement (“Agreement”) between Customer and Foreca. By concluding the Subscription and entering into this Agreement you warrant that you have the required authority to do the same.

 

1 Service, Content and Fees

These Terms govern the provision of the Foreca Weather API by Foreca (“Service”) and the Customer’s right to use the weather data included in the Service (“Content”). The Service and Content are described in the service description located at https://developer.foreca.com (“Service Description”).

The applicable fees for the Service are the prices published on Foreca's Weather API Service website located at https://business.foreca.com/weather-api/pricing ("Fees"). Foreca reserves the right to amend the Service Description and the Fees at any time with reasonable prior notice to Customer by posting the applicable amendments and their schedule in the Foreca Weather API Service website. Customer shall be solely responsible for reviewing and ensuring that it is at all times aware of the current Service Description and Fees. Technical support is available to selected services during Finnish business hours as set out in the applicable Service Description.

The Fees for the initial Agreement period shall be due and payable at the time of Subscription. Fees for any renewal period shall be charged on the first day of such renewal period according to the payment method selected by Customer. Fees applicable to any renewal period shall be the Fees in effect at the time of renewal. In the event that due payments fail despite repeated requests, Foreca shall ultimately be entitled to suspend the provision of the Service. Additional Fees, payment mechanisms and discount campaigns may be applicable as set out on the website. No refunds will be issued for Subscriptions. Subscriptions are non-refundable, regardless of use or lack of use.

All Fees are exclusive of any national, federal, state, value-added, municipal, foreign withholding or other governmental taxes, duties, excises, tariffs, or similar charges, all of which shall be added to the Fees according to the applicable legislation. Customer shall be responsible for, and if necessary, reimburse Foreca for, all such taxes, duties, excises or tariffs, including any penalties and interest.

Any free trials may be subscribed only once and repeated trials by the same Customer are strictly prohibited.

Foreca may discontinue, suspend, terminate or block access to the Service if Customer breaches these Terms. Foreca has no obligation to compensate Customer for any discontinuation, suspension, termination or blockage of access to the Service.

 

2 Intellectual Property and License

All intellectual property rights (including but not limited to copyright, patents and patent applications, database rights, inventions, trademarks and service marks, trade secrets, and domain names) in and to the Service and Content shall remain the property of Foreca or its licensors. Foreca reserves all rights not expressly granted herein.

Subject to Customer's payment of the applicable Fees, Foreca grants to Customer, for the duration of the Agreement, a limited, non-exclusive and non-transferable licence and right to use the Service and Content as described in the Service Description.

Customer may not use or transfer the Content in any way not expressly provided for in these Terms.

Customer shall be responsible for complying with all applicable laws and regulations when using the Service and Content.

 

3 Attribution

Any Customer’s application or service incorporating Content shall prominently display the message “Powered by Foreca” or the Foreca logo (available at www.foreca.com/logo) in a legible manner. Customer shall follow Foreca's instructions regarding the use of Foreca's logo, trade name and other trademarks. Customer may not present the Service, Content or Foreca's name or logo in any manner that implies a partnership, affiliation, sponsorship or endorsement by Foreca, unless expressly authorized by these Terms.

Some Content may require additional third-party attribution, which will be informed by Foreca from time to time. Customer agrees to comply with such attribution requirements.

 

4 Indemnity

Customer shall indemnify, defend and hold harmless Foreca and its officers, directors, employees and agents from and against any and all claims, demands, actions, liabilities, losses, damages, costs and expenses (including reasonable attorney’s fees) arising out of or in connection with: (a) Customer's breach of these Terms; (b) Customer's use of the Service or Content; or (c) any third-party claim relating to Customer's products, services or applications that incorporate or utilise the Service or Content.

 

5 Force Majeure

Neither party shall be liable for any delay or damage caused by a hindrance beyond that party's reasonable control which it could not reasonably have taken into account at the time of entering into the Agreement, and the consequences of which it could not reasonably have avoided or overcome, including (without limitation) war, general labour disputes, acts of government and natural disasters.

 

6 Confidentiality

Each party shall keep in confidence all material and information received from the other party that is marked as confidential or which should be understood to be confidential, and may not use such confidential information for any purpose other than as set out in these Terms.

The technical structure and documentation of the Service constitute a business secret and confidential information of Foreca.

 

7 No Warranty

The Service and Content are provided AS IS and AS AVAILABLE basis without warranty of any kind, either expressed or implied. Foreca expressly disclaims any implied warranties for the Service including but not limited to warranties of accuracy, validity, correctness, availability, merchantability, or fitness for a particular purpose.

Foreca is not liable to Customer or any third party for the consequences of decisions made based on Service or Content received, Service or Content not received, or incorrect or defective Service or Content.

 

8 Limitation of Liability

In no event shall Foreca have any liability to the Customer or any third party for any indirect or consequential damage, including but not limited to loss of profit, revenue, data or goodwill, whether incurred or suffered as a result of unavailability of the Service or Content or otherwise.

Foreca's total aggregate liability per Agreement period arising out of or related to the Agreement shall not exceed fifty percent (50%) of the Fees paid or payable by Customer to Foreca for the then-current Agreement period.

 

9 Privacy Policy

Foreca shall process personal data collected in connection with the Service in accordance with the Privacy Policy located at https://business.foreca.com/privacy-policy-for-business-customers.

 

10 Export Control and Sanctions

The Service may be subject to applicable import and/or export control laws and regulations, as well as economic and trade sanctions, embargoes and restrictive measures imposed by any competent authority. Foreca makes no representation that the Service is appropriate or available for use in all jurisdictions. It is Customer's sole responsibility to ensure that its access to and use of the Service does not violate any applicable sanctions, export control or import control laws or regulations.

 

11 Term and Termination

The Agreement enters into force upon Subscription and shall remain in effect in accordance with the terms set out in this Section 11.

The initial Agreement period shall be as selected by Customer at the time of Subscription. The Agreement shall automatically renew for successive periods of the same duration, unless Customer terminates the Agreement using the self-service portal or Foreca provides Customer with a written notice of non-renewal prior to the end of the then-current Agreement period.

Either party may terminate the Agreement with immediate effect by written notice if: (a) the other party commits a material breach of the Agreement and, where the breach can be remedied, fails to remedy the breach within thirty (30) days of having been notified thereof by the other party; or (b) the other party becomes insolvent, is declared bankrupt or files for bankruptcy, goes into or is placed in liquidation, or enters into an arrangement with its creditors.

 

12 Governing Law and Dispute Resolution

The Agreement is governed by the laws of Finland, excluding its choice of law provisions.

All disputes arising from the Agreement shall be primarily settled amicably through negotiations between the parties. Should the parties fail to settle the dispute, it shall be finally settled by arbitration in accordance with the Arbitration Rules of the Finland Chamber of Commerce. The number of arbitrators shall be one (1). The seat of arbitration shall be Helsinki, Finland, and the language of the arbitration shall be English.

Notwithstanding the above, each party shall be entitled to seek equitable and/or injunctive relief or take legal action concerning overdue payments in any appropriate court of law to prevent or stop a violation of the Agreement.

 

13 Miscellaneous

Customer shall not be entitled to assign or transfer the Agreement or any rights or obligations thereunder to a third party without the prior written consent of Foreca. Foreca may assign the Agreement, in whole or in part, to another company in the same group of companies as Foreca, or to a third party to which any part of its business is transferred.

Customer is responsible for keeping its contact, use case and invoicing information up-to-date with Foreca at all times.

Customer shall keep its API-credentials secure and confidential and shall remain responsible for any usage by them.

Foreca reserves the right to update these Terms from time to time. Continued use of the Service following notice of any update constitutes Customer's acceptance of the updated Terms.
